These Terms and Conditions ("Terms") govern your access to and use of the Helix Digital Partners ("Helix," "we," "us," or "our") website at helixdigitalpartners.com and the services we provide. By accessing our website, submitting information, or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

01Acceptance of Terms

By using this website or engaging Helix, you confirm that you are at least 18 years old, that you have the authority to enter into these Terms on behalf of yourself or the business you represent, and that you accept these Terms in full.

02Our Services

Helix designs, deploys, and manages AI-powered workforce infrastructure for established businesses. Our services include the Helix Diagnostic, the Human Code™ Workforce Architecture build, team onboarding, ongoing management and optimization, and related advisory services. The specific scope, deliverables, fees, and timeline for any engagement are defined in the proposal, order form, or statement of work you accept for that engagement, which is incorporated into these Terms.

03The Diagnostic and Engagements

The Helix Diagnostic is a structured, fixed-scope analysis that serves as the entry point to a Helix engagement. It produces a written deliverable, the Human Code™ Workforce Architecture Map, which is typically delivered within 10 to 14 business days of kickoff and which you own once delivered. Ongoing engagements, including build and managed-service relationships, are governed by the proposal or agreement you accept for that engagement.

04Fees, Billing, and Payment

• The Diagnostic fee is payable in full at the time of purchase by card, unless otherwise agreed in writing. Current pricing and any beta or promotional pricing are stated at the point of purchase.
• If you proceed to a Human Code™ Workforce Architecture build, the Diagnostic fee is credited dollar-for-dollar toward that engagement, as described in your proposal.
• Ongoing managed services are billed on a recurring basis as set out in your agreement and continue until cancelled in accordance with that agreement.
• You are responsible for all fees and any applicable taxes. Late or failed payments may result in suspension of services.

05Refunds

The Diagnostic is a delivered professional service. Because work begins promptly upon purchase, fees are generally non-refundable once the engagement has commenced. Any refund or credit terms specific to your engagement will be stated in your proposal or order form and will govern in the event of a conflict with this section.

06Your Responsibilities

To allow us to deliver our services, you agree to:

• Provide accurate, current, and complete information when you apply, purchase, or engage us.
• Provide timely access to the systems, accounts, and information reasonably required to perform the services, including any client-owned platform accounts.
• Maintain your own accounts with third-party providers (such as your AI platform account) where the work is deployed, and remain responsible for those accounts and their fees.
• Use our website and services only for lawful purposes and not in any way that infringes the rights of others or disrupts the services.

07Intellectual Property and Ownership

All content on this website, including text, graphics, logos, and the Helix and Human Code™ names and marks, is the property of Helix or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or distribute our content without our prior written permission.

Helix retains all rights to its methodologies, frameworks, templates, and know-how. Upon full payment, you own the specific written deliverables prepared for you, such as your Human Code™ Workforce Architecture Map, and you own the infrastructure deployed in your own platform accounts. Helix manages that infrastructure during an active engagement; you own it.

08Confidentiality

Each party agrees to keep confidential the non-public information it receives from the other in connection with an engagement and to use it only for the purpose of performing or receiving the services. This obligation does not apply to information that is or becomes public through no fault of the receiving party, or that is required to be disclosed by law.

09Messaging Terms

If you opt in to receive text messages from Helix, you agree to the following. The program provides inquiry responses, application and engagement updates, appointment reminders, and service notifications. Message frequency varies. Message and data rates may apply. Reply STOP to cancel and HELP for help. Carriers are not liable for delayed or undelivered messages. Our handling of mobile data is described in our Privacy Policy.

10No Guarantees and Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Helix does not guarantee any specific business result, revenue, or outcome. Any examples, case studies, or testimonials reflect individual experiences and are not a promise or guarantee of results. You are responsible for your own business decisions and for performing your own due diligence.

11Limitation of Liability

To the fullest extent permitted by law, Helix and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of our website or services. Our total aggregate liability for any claim arising out of or related to the services will not exceed the total amount you paid to Helix for the services giving rise to the claim in the twelve (12) months preceding the event that gave rise to the claim.

12Indemnification

You agree to indemnify and hold harmless Helix and its owners, employees, and contractors from any claims, damages, liabilities, and expenses, including reasonable legal fees, arising out of your use of our services, your violation of these Terms, or your violation of any law or the rights of a third party.

13Third-Party Services

Our services may rely on or integrate with third-party platforms and tools. Your use of those platforms is subject to their own terms and policies, and Helix is not responsible for the availability, performance, or practices of third-party providers.

14Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or our services that cannot be resolved informally will be settled by confidential binding arbitration conducted in Clark County, Nevada. You and Helix waive the right to a trial by jury and agree that any dispute will be resolved on an individual basis and not as part of a class action.

15Termination

We may suspend or terminate your access to our website or services at any time if you breach these Terms or use the services unlawfully. Termination of an active engagement is governed by the agreement for that engagement. Sections that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification, will continue to apply.

16Changes to These Terms and Contact

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and post the new version on this page. Your continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
